Jio IPO Use of Proceeds: Why Rs 27,500 Crore Goes to Debt Repayment

Where the money from the Jio IPO goes, why most of it repays loans and what that means for profit and shareholders.

A record issue invites a simple question: what will the money do?

The headline numbers

  • Issue size: Rs 30,213 crore.
  • Structure: fresh issue of about 270 million shares with a face value of Rs 10.
  • No offer for sale, so existing investors such as Meta and Google are not selling in this issue.
  • Up to Rs 27,500 crore is earmarked to repay loans of Reliance Jio Infocomm.

What this means

The Jio IPO is mainly a balance sheet clean-up, not a fund for new towers or AI projects. Because the money goes to the company, it reduces debt rather than paying out existing holders.

Why it helps profit

Jio's net debt to EBITDA fell to 0.36 times in FY26 from 0.88 times in FY24, but interest costs jumped about 76 per cent to Rs 8,653 crore last year. Repaying loans reduces future interest costs and supports profit.

What it does not do

It does not directly fund growth. Growth must come from the existing network, tariffs and newer businesses.

Reserved portions

Reliance shareholders have a reserved quota of Rs 2,500 crore and employees Rs 500 crore.

Reading the objective

An issue that funds debt repayment can improve returns on equity. An issue that funds growth depends on execution.
